PHILIPSBURG--The Supervisory Board of Directors (SBOD) of utilities company GEBE has appointed Sharine Daniel as temporary manager in the absence of a statutory director of the company.


Statutory director Merrill Temmer, whose function became effective as of August 22, has been on extended sick leave and is unable to function due to illness.
Daniel’s appointment went into immediate effect as of Tuesday, August 29. “… Daniel, in accordance with the articles of incorporation of NV GEBE is entitled to take all urgent necessary actions require for the continuance of the business operation of NV GEBE,” SBOD Vice Chairperson Dimar Labega stated in a notification dated August 29 and sent to employees, stakeholders, service providers and GEBE vendors.
The Council of Ministers, in its capacity as representative of the shareholder of utilities company GEBE, has, via letter, formally and informally, requested GEBE’s SBOD to assign a crisis management team at GEBE as soon as possible.
In a resolution dated August 29, the SBOD stated that no managing directors were currently appointed to function in accordance with article 8, under 11 of GEBE’s Articles of Association. Temmer had been appointed in the absence of managing directors. On August 9, Temmer resigned as temporary manager per September 1, leaving the company with no temporary manager as of that date.
On May 11, 2022, Daniel was appointed temporary replacement of Temmer in the event of his absence. On August 22 the SBOD said it had received notification of no objection regarding Temmer automatically invoking his Chief Operations Officer (COO) service agreement.
The temporary manager service agreement and the acting temporary manager service agreement and the function were automatically terminated on Temmer receiving his no-objection on August 22.
Temmer has been on extended sick leave further confirmed in writing to the SBOD via letter on August 28.
On August 26, the SBOD was notified of its obligation to ensure continuity in the daily operations of GEBE.
The SBOD said in the resolution that in due observance of the Articles of Association, it would appoint a temporary manager. “As such, the June 1, 2022, announcement of Sharine Daniel as acting temporary manager will be upheld throughout the weekend and into Monday, August 29, up until the appointment of the temporary manager.”
With three votes from SBOD members and one against, Daniel was appointed in the function of temporary manager effective immediately for the duration of the absence of managing directors of the company.

  The resolution was signed by Vice Chair Labega, and SBOD members Vanessa Fraser and Emanuel Brooks. SBOD member Denniscio Boasman did not sign the resolution as incorrectly stated in an earlier version of this article posted online as well as in the article that appeared in today's edition of The Daily Herald under the headline, "Daniel appointed temporary manager as of Aug. 29 in Temmer’s absence." Former Chairperson of the SBOD Anastacio Baker, who has since resigned, also did not sign.
